What does Management Liability Insurance cover?

Allianz Management Liability Insurance offers four separate insurance covers, allowing you to select or combine the protection you need. Our covers can insure you for each of the following risks:

Directors & Officers Liability

Covers you or your directors, officers and employees in the event of claims being made by third parties for alleged wrongful acts, such as a breach of duty or trust.

Employment Practices Liability

Covers you in the event of specific employment practices claims made against you, such as wrongful dismissal, discrimination or sexual harassment.

You must also insure Part A: Directors and Officers Liability to be eligible to purchase Employment Practices Liability cover.


Covers you for loss of property caused by employee dishonesty.

Tax Audit

Insurance for reasonable professional fees incurred within Australia in connection with a tax audit of your business’ financial affairs.

The following are some of the exclusions that apply under the respective sections of the Management Liability Insurance cover:

Exclusions under Part A: Directors & Officers
  • Any liability directly or indirectly resulting from, or in any way involving, asbestos, or any materials containing asbestos in any form or quantity.
  • Consensual claims made, brought or maintained by or on behalf of any person or entity with the solicitation, co-operation or assistance of any insured person.
  • Dishonesty or improper conduct which involves you or an insured person including committing or permitting any criminal, fraudulent, dishonest or malicious acts, or knowingly, wilfully or recklessly violating any obligation, contract, law or regulation.
  • Claims arising from, attributable to, or in any way connected with an employment practices breach,
  • Claims against you or an insured person arising directly or indirectly from or in respect of any alleged or actual restrictive trade practices.
  • A breach of professional duty arising from the rendering or failure to render professional services and/or professional advice, or a breach or alleged breach of any contract for the provision of professional services and/or professional advice.

Exclusions under Part B: Employment Practices Liability
  • Any claims in connection with employee benefits.
  • Claims in relation to specified industrial actions.
  • Claims in connection with an allegedly unfair contract of employment.

Exclusions under Part C: Crime
  • Losses arising after you have knowledge or information of any prior act of fraud or dishonesty by that employee.
  • Loss arising from failure to make payment of or default under any loan or credit transaction obtained from or made by you whether authorised or unauthorised unless there is fraud or dishonesty by an employee.

Exclusions under Part D: Tax Audit
  • Legal liability, court costs, fines, penalties, tax, penalty tax or interest.
  • Any routine enquiries or enquiries made by an auditor which are not identified as being either preliminary to or relating to an audit.
  • For professional fees incurred:
  • prior to the commencement of the audit;
  • after the audit has been completed;
  • due to your unwarranted, improper or unjustified refusal or failure to comply with any lawful request made by an auditor;
  • from audits or investigations under customs legislation;
  • from audits you were notified of or knew of prior to the period of insurance;
  • from any fraudulent act or omission committed by you or on your behalf by your employee(s);
  • which are ordinarily associated with the maintenance and upkeep of your business accounts, returns, taxation and financial records and their preparation prior to lodgement as required by law;
  • More than12 months after the commencement of the audit, unless you can show that completion of the audit has been delayed as a result of the conduct of the auditor.

Professional Indemnity Insurance covers you against claims brought against your business by third parties for professional advice or services provided which have resulted in a loss to a third party.

This is not covered under our Management Liability Insurance covers – which cover liability for loss caused by a management wrongful act (Directors and Officers), liability for an employment practices breach such as discrimination or sexual harassment (Employment Practices Liability), loss of property caused by employee dishonesty (Crime) and/or reasonable professional fees incurred if audited for tax purposes (Tax Audit).
