Liability cover for you or your directors and officers in the event of claims being made by third parties for alleged Management Wrongful Acts(s)2.

Liability cover for specific employment practice breaches brought by employees (or potential employees), such as wrongful dismissal, discrimination or sexual harassment.

  • We’ll cover up to an additional 20% of the sum insured for costs and expenses incurred with our permission in an attempt to recover property lost as a result of employee dishonesty (where previously agreed).

Cover for reasonable professional fees incurred for a tax audit of your business.
  • Professional fees
  • We’ll insure you for the professional fees reasonably incurred within Australia in connection with a tax audit that starts during the period of insurance.

  • Any liability directly or indirectly resulting from, or in any way involving, asbestos, or any materials containing asbestos in any form or quantity.
  • Consensual claims made, brought or maintained by or on behalf of any person or entity with the solicitation, co-operation or assistance of any insured person.
  • Dishonesty or improper conduct that involves you or an insured person including committing or permitting any criminal, fraudulent, dishonest or malicious acts, or knowingly, wilfully or recklessly violating any obligation, contract, law or regulation.
  • Claims arising from, attributable to, or in any way connected with an employment practices breach.
  • Claims against you or an insured person arising directly or indirectly from or in respect of any alleged or actual restrictive trade practices.
  • A breach of professional duty arising from the rendering or failure to render professional services and/or professional advice, or a breach or alleged breach of any contract for the provision of professional services and/or professional advice.
  • Any claims in connection with employee benefits.
  • Claims in relation to specified industrial actions.
  • Claims in connection with an allegedly unfair contract of employment.
  • Losses arising after you have knowledge or information of any prior act of fraud or dishonesty by that employee.
  • Loss arising from failure to make payment of or default under any loan or credit transaction obtained from or made by you whether authorised or unauthorised unless there’s fraud or dishonesty by an employee.
  • Loss of electronic data, including total or partial destruction, misrepresentation, misappropriation, processing errors, or failure or inability to receive it.
  • Any loss arising from people impersonating directors, officers, or other authorised personnel to fraudulently secure company information or funds (Social Engineering Fraud).
  • Legal liability, court costs, fines, penalties, tax, penalty tax or interest.
  • Any routine enquiries or enquiries made by an auditor which aren’t identified as being either preliminary to or relating to an audit.
  • For professional fees incurred:

    • Before the start of the audit
    • After the audit’s been completed
    • Due to your unwarranted, improper or unjustified refusal or failure to comply with any lawful request made by an auditor
    • From audits or investigations under customs legislation
    • From audits you were notified of or knew of before the period of insurance
    • From any fraudulent act or omission committed by you or on your behalf by your employee(s)
    • Which are ordinarily associated with the maintenance and upkeep of your business accounts, returns, taxation and financial records and their preparation before lodgement as required by law
    • More than 12 months after the start of the audit, unless you can show that completion of the audit has been delayed as a result of the conduct of the auditor

    Management Wrongful Act(s) means any actual or alleged breach of duty, breach of trust, act, error, omission, neglect, misstatement, misleading statement or breach of warranty of authority. It doesn’t include any employment-related discrimination, wrongful dismissal, workplace or sexual harassment, or other employment practices breaches as defined in the PDS, committed by any Insured Person.
